Welcome to Zwirly.com (the “Site”), operated by InteliVend Inc. (“we,” “our,” or “us”). By accessing or using our website, services, or purchasing any products, you agree to be bound by these Terms of Service (“Terms”). If you do not agree with any part of these Terms, you must not use our Site.
1. ACCEPTANCE OF TERMS
By using this Site, you acknowledge that you have read, understood, and agree to comply with these Terms, as well as our Privacy Policy.
2. ELIGIBILITY
This Site is intended for business use by individuals who are at least 18 years old and authorized to act on behalf of a legal entity. By using our Site, you represent and warrant that you meet these requirements.
3. EQUIPMENT PURCHASES
Purchases of Zwirly automated soft serve machines are governed by a separate Equipment Purchase and Installation Agreement, which must be signed at the time of order. That agreement includes:
- Payment terms
- Warranty information
- Installation and training provisions
- Returns and nonconforming goods policy
- Software License Agreement (Exhibit A)
Please refer to that Agreement for full details. In the event of any conflict between this ToS and the signed Purchase Agreement, the terms of the Purchase Agreement shall control.
4. SUPPLIES AND E-COMMERCE PURCHASES
We may sell accessories, mix powders, and other supplies through the Site. All sales are subject to availability and current pricing.
Returns & Refunds: Returns for nonconforming products are handled in accordance with Section 5 of the Equipment Purchase and Installation Agreement. To initiate a return, contact support via the Zwirly Portal.
5. USER RESPONSIBILITIES
You agree not to:
- Use the Site for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to any part of the Site or supporting systems
- Interfere with or disrupt the integrity or performance of the Site
6. INTELLECTUAL PROPERTY
All content, graphics, logos, software, and technology on the Site are owned by InteliVend Inc. and protected by intellectual property laws. You may not reproduce, distribute, or modify any part of the Site without prior written permission.
7. SOFTWARE LICENSE NOTICE
Use of the Zwirly Software and CRM Portal is subject to the Software License Agreement included in the Equipment Purchase Agreement (Exhibit A). Unauthorized access, use, or duplication is strictly prohibited.
8. LIMITATION OF LIABILITY
To the maximum extent permitted by law, InteliVend Inc. shall not be liable for any indirect, incidental, or consequential damages arising from your use of this Site. Our total liability shall not exceed the amount paid by you, if any, for accessing the Site.
9. GOVERNING LAW
These Terms shall be governed by the laws of the State of Wyoming. Any disputes shall be resolved exclusively in the courts of Wyoming, U.S.A.
10. MODIFICATIONS TO TERMS
We may revise these Terms from time to time. The most current version will always be posted on this page. Continued use of the Site after changes are posted constitutes your acceptance of the updated Terms.
